INTRODUCTORY:<\/h3>\n<ol>\n<li>NAME: The name of the Association shall be \u201cthe Ngaio Progressive Association (Incorporated)\u201d hereinafter referred to as \u201cthe Association\u201d.<\/li>\n<li>INTERPRETATION: In these Rules unless the context otherwise requires:<br \/>\n\u201cNgaio\u201d means and includes that Suburb of Wellington City generally known as \u201cNgaio\u201d including to the north the urban areas east west and south of Nairnville Park, and to the south the urban areas north, east, and west of Trelissick Park and that known as Crofton Downs; and shall include extensions of the present urban areas into rural lands; provided that if any doubt arises whether any particular property is in Ngaio the ruling of the Executive shall be final:<br \/>\n\u201cResident\u201d means and includes every person who is an elector on the Municipal Rolls of Wellington City, in respect of residence in or ownership of property in Ngaio.<\/li>\n<\/ol>\n<h3>2 AIMS:<\/h3>\n<p>The aims of the Association are to promote the general welfare of all<br \/>\nresidents, and in particular<\/p>\n<ol>\n<li>to foster a healthy public spirit in Ngaio and elsewhere in and about the City of Wellington;<\/li>\n<li>to promote the improvement beautification and development of Ngaio in particular and the City in general;<\/li>\n<li>to promote public works and maintenance works anywhere that seems desirable in the interests of residents;<\/li>\n<li>to advocate and by all lawful means to secure efficient administration of municipal affairs;<\/li>\n<li>to take such actions, including actions at law, as may from time to time seem desirable for advancing the aims of the Association or for protecting or advancing the interests of residents;<\/li>\n<li>from time to time and at any time, to acquire hold and dispose of such property, real and personal, and to collect, administer, spend and give such moneys as to the Executive may seem to be in the interests of residents or to comply with their wishes;<\/li>\n<li>to make or do all such lawful acts deeds matters or things as may appear to the Executive to be incidental to or to be conducive directly or indirectly to the attainment of the aims of the Association.<\/li>\n<\/ol>\n<h3>3. MEMBERSHIP:<\/h3>\n<ol>\n<li>Every resident shall become a member upon payment to the Treasurer or his deputy, of the subscription for the year in which he becomes a member.<\/li>\n<li>Membership shall continue from the time of enrolment until the member resigns in writing, or dies, or becomes of unsound mind, or ceases to be a resident, or fails for more than six months after written demand, to pay any subscription due to the Association, or is deprived of membership by a Disciplinary Committee comprising the President, Vice President and Secretary of the Association.<\/li>\n<li>No member shall be deprived of membership under this Rule unless \u2013upon complaint signed by not less than five members of the Association;\n<ul>\n<li>a copy of the complaint has been sent to the member by registered post addressed to him at his last known postal address in Ngaio, with notice of the time date and place at which the Disciplinary Committee will hear the complaint and the member\u2019s answer to it; and<\/li>\n<li>the Disciplinary Committee is of opinion that the conduct of the member during his membership has been unreasonable and is also either contrary to the aims of the Association, or prejudicial to the conduct of the Association\u2019s affairs.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<h3>4. MEETINGS:<\/h3>\n<ol>\n<li>Annual General Meeting: The Annual Meeting of the Association shall be held not later than 31 December of each year at such time and place as shall be decided by the Executive.<\/li>\n<li>Ordinary General Meetings: These shall be held whenever convened by the Secretary on instructions of the President for the purpose of reporting progress on matters of interest to members.<\/li>\n<li>Extraordinary General Meetings: These shall be held when convened by the Secretary on instructions of the President or on request in writing by not less than ten members of the Association for the purpose of discussing such business of the Association as shall be specified in<br \/>\nthe request, and such other business as may conveniently be disposed of at that meeting; provided that such other business shall not be discussed at that meeting until the business specified in the request has been disposed of.<\/li>\n<li>Any meeting may be adjourned from time to time from place to place as circumstances may require.<\/li>\n<\/ol>\n<h3>5. QUORUM:<\/h3>\n<ol>\n<li>Subject to Rule 21 the quorum for meetings of members shall be ten, and<br \/>\nfor meetings of the Executive shall be six.<\/li>\n<\/ol>\n<h3>6. VOTING:<\/h3>\n<ol>\n<li>At General Meetings of the Association, every member who is present<br \/>\nshall be entitled to vote upon every matter put to the vote except<br \/>\nthat only financial members shall be entitled to vote upon matters<br \/>\nwhich in the notice calling that General Meeting are specified as<br \/>\nrestricted to financial members; whether any matter shall be so<br \/>\nrestricted shall be determined by the President.<\/li>\n<li>At any General Meeting, no member except the Chairman shall have more<br \/>\nthan one vote upon any matter; but the Chairman shall have a casting<br \/>\nvote as well as a deliberative vote.<\/li>\n<li>Voting shall be by show of hands unless a ballot is specified by the<br \/>\nChairman or requested by a member.<\/li>\n<\/ol>\n<h3>7. NOTICES:<\/h3>\n<ol>\n<li>Except where these Rules otherwise require, every notice required to be<br \/>\ngiven to a particular member shall be posted to him at his last known<br \/>\naddress in Ngaio, and if so posted, shall be deemed to have been given<br \/>\nto him on the day when it should have been delivered in the ordinary<br \/>\ncourse of post.<\/li>\n<li>Every notice to members generally shall be deemed to have been given to<br \/>\nall members when it has been broadcast by radio, published in a<br \/>\nnewspaper generally circulating in the suburb, or notified in a<br \/>\nhouseholder circular distributed generally in Ngaio, whether or not<br \/>\nsuch circulation or distribution is complete.<\/li>\n<li>Every notice shall state the nature of the business to be transacted.<\/li>\n<\/ol>\n<h3>8. PERIOD OF NOTICE:<\/h3>\n<ol>\n<li>For Annual and Ordinary General Meetings, the period of Notice to<br \/>\nmembers shall be eight days, and for Extraordinary General Meetings as<br \/>\nmuch notice shall be given as circumstances permit.<\/li>\n<\/ol>\n<h3>9. OFFICERS:<\/h3>\n<ol>\n<li>Only members shall hold office. The following Officers shall be<br \/>\nelected at each Annual General Meeting:<br \/>\nPresident, two Vice-Presidents, Secretary and Treasurer, and<br \/>\nCommittee.<\/li>\n<li>These officers shall hold office from the date of the Annual<br \/>\nGeneral Meeting to the date o\u00a3 the next following Annual General<br \/>\nMeeting, provided that any Officer may resign his Office at any<br \/>\ntime by notice in writing delivered to the Secretary.<\/li>\n<li>Any Annual General Meeting may, by resolution, appoint as a Life Vice-<br \/>\nPresident of the Association, any member who has given long and<br \/>\noutstanding service to the residents of Ngaio through the Association,<br \/>\neither before or after, or partly before and partly after its<br \/>\nincorporation.<\/li>\n<li>Every Life Vice-President shall be entitled by virtue of this office to<br \/>\nattend any meeting of the Association or its Executive and there<br \/>\nexercise all of the powers of a member of the Committee except that<br \/>\nof voting in Committee on issues before the Committee.<\/li>\n<li>The office of Life Vice-President may be held concurrently with any<br \/>\nother office in the Association, and shall continue so long as the<br \/>\nmember lives, subject only to resignation.<\/li>\n<\/ol>\n<h3>10. DUTIES OF OFFICERS:<\/h3>\n<ol>\n<li>The President, or in his absence a Vice-President, or in the absence of all<br \/>\nof them, a Chairman elected by the Meeting shall preside at all<br \/>\nmeetings of the Association that person shall give a precis of current<br \/>\nactivities to General Meetings, and shall present a written report on<br \/>\nthe year\u2019s activities to the Annual General Meeting.<\/li>\n<li>The Secretary shall keep correct minutes of all meetings, conduct all<br \/>\ncorrespondence, and prepare such reports and returns and give such<br \/>\nnotices as may be required.<\/li>\n<li>The Treasurer shall maintain a Register of Members with their addresses,<br \/>\nand keep adequate records of all receipts and disbursements of the<br \/>\nAssociation; prepare and submit to the Annual General Meeting and<br \/>\notherwise as may be required, up-to-date statements of account and<br \/>\nbalance sheets.<\/li>\n<\/ol>\n<h3>11. EXECUTIVE:<\/h3>\n<ol>\n<li>The Officers of the Association appointed under Rule 9 hereof shall<br \/>\ncomprise the Executive of the Association.<\/li>\n<li>The Executive shall be responsible to the Association for the management<br \/>\nof the Association\u2019s affairs, and the control and investment of. its<br \/>\nfunds, and shall meet at such times and places as shall be determined<br \/>\nby the Executive.<\/li>\n<li>The Executive may fill any vacancy on the Executive that arises<br \/>\nduring its term of office, and its appointee shall hold office for<br \/>\nthe remainder of the term of that Executive.<\/li>\n<li>The Executive shall have authority to co-opt any member or other person<br \/>\nfor any special service, and to appoint any member or other person to<br \/>\ninvestigate, report upon, or deal with any specified matter.<\/li>\n<\/ol>\n<h3>12. SUBSCRIPTIONS:<\/h3>\n<ol>\n<li>The Annual Subscription if set in any year, as shall be determined at the<br \/>\nAnnual General Meeting for that year, and shall be payable by new members<br \/>\nupon joining and by other members upon demand at such times and places and<br \/>\nin such manner as may be determined by resolution of the Executive.<\/li>\n<\/ol>\n<h3>13. FINANCIAL YEAR:<\/h3>\n<ol>\n<li>The Financial Year shall commence on the first day of October and end on<br \/>\nthe 30th day of September next following.<\/li>\n<\/ol>\n<h3>14. ACCOUNTS:<\/h3>\n<ol>\n<li>The Annual Report, Statement of Accounts, and Balance Sheet of the<br \/>\nAssociation duly audited with the Auditor\u2019s Certificate endorsed shall<br \/>\nbe presented at the Annual General Meeting.<\/li>\n<\/ol>\n<h3>15. AUDITOR:<\/h3>\n<ol>\n<li>An Honorary Auditor, who shall not be the President, Secretary or<br \/>\nTreasurer, shall be appointed at the Annual General Meeting and shall_ have<br \/>\naccess to all books and accounts of the Association at all reasonable<br \/>\ntimes. He shall endorse on the Annual Statement of Accounts and Balance<br \/>\nSheet, a Certificate of correctness or statement of any cause of dissatisfaction.<\/li>\n<\/ol>\n<h3>16. RETURN TO REGISTRAR:<\/h3>\n<ol>\n<li>At the end of each financial year, the Association shall forward to the<br \/>\nRegistrar of Incorporated Societies a copy of the Statement of Accounts and<br \/>\nBalance Sheet of the Association duly certified by the Honorary Auditor, after<br \/>\nadoption by the Annual General Meeting.<\/li>\n<\/ol>\n<h3>17. REGISTERED OFFICE:<\/h3>\n<ol>\n<li>The Registered Office of the Association shall be the residence of the<br \/>\nSecretary of the Association or such other place as may be decided from<br \/>\ntime to time by the Executive. Notice of every change of address of the<br \/>\nRegistered Office shall be given to the Registrar of Incorporated Societies<br \/>\nby the Secretary.<\/li>\n<\/ol>\n<h3>18 COMMON SEAL:<\/h3>\n<ol>\n<li>The Common Seal of the Association shall be used only under and by virtue of a<br \/>\nresolution or minute of the Executive, and any deed or document requiring execution<br \/>\nby the Association shall be executed by affixing the common seal thereto in the<br \/>\npresence of two members of the Executive, of whom one shall be the President or the<br \/>\nSecretary.<\/li>\n<\/ol>\n<h3>19. AMENDMENT OF RULES:<\/h3>\n<ol>\n<li>The Rules of the Association may be two-thirds majority vote of members that no such alteration addition or<br \/>\nnotice of the proposed amendment has altered, added to, or rescinded by a present at any General Meeting provided<br \/>\nrescission may be made unless eight days\u2019 been given to members generally.<\/li>\n<\/ol>\n<h3>20. COPIES OF RULES:<\/h3>\n<ol>\n<li>Copies of these Rules complete with amendments if any, shall be made<br \/>\navailable to any member within seven days of request on payment of the<br \/>\nreasonable cost of reproduction thereof.<\/li>\n<\/ol>\n<h3>21. WINDING UP:<\/h3>\n<ol>\n<li>Any proposal to wind up the Association shall be notified to<br \/>\nmembers generally in accordance with Rule 7 hereof with Notice of an<br \/>\nordinary General Meeting to consider the proposal.<\/li>\n<\/ol>\n<h3>22. Extra<\/h3>\n<ol>\n<li>A Resolution to wind up must be carried by a majority of members<br \/>\npresent at such Extraordinary General Meeting, and such decision must<br \/>\nbe confirmed by a subsequent General Meeting called for that purpose<br \/>\nand held not earlier than thirty days after the date of passing of the<br \/>\nresolution to be confirmed.<\/li>\n<li>For the purposes of this Rule the quorum for the General Meetings at<br \/>\nwhich the resolution to wind up is passed and confirmed shall be ten<br \/>\nmembers; provided that if such quorum is not present within thirty<br \/>\nminutes after the notified commencement time, five members may<br \/>\nconstitute a quorum.<\/li>\n<li>If winding up of the Association is so confirmed, the assets of the<br \/>\nAssociation after meeting all liabilities, shall be handed to the<br \/>\nWellington City Council to be used for the benefit of residents<br \/>\ngenerally.<\/li>\n<\/ol>\n","protected":false},"excerpt":{"rendered":"<p>RULES OF THE NGAIO PROGRESSIVE ASSOCIATION (INCORPORATED) 1.
